1. Introduction

1.1. These Terms of Use ("Terms" or "Agreement") are between you and Bankly ("we", "us", "our"). These Terms apply to you when you access and use any parts of our website available at https://bankly.cc and related mobile applications (together, the "Site(s)").

4. Card Services

4.1. Bankly provides virtual and physical payment cards powered by Visa and Mastercard networks. Cards may be used at merchants worldwide where Visa and Mastercard are accepted.

4.2. Card issuance is subject to successful KYC verification and approval.

4.3. You may top up your card using supported cryptocurrencies (BTC, ETH, USDT, USDC) or fiat currency. Crypto-to-fiat conversion occurs at the prevailing exchange rate at the time of the transaction.

4.4. Cards are subject to daily and monthly transaction limits, which may vary based on your verification level and jurisdiction.

4.5. Bankly is not responsible for merchant-initiated charges, refund delays, or transaction disputes that arise from your use of the card at third-party merchants.

5. Fees

5.1. Bankly may charge fees for certain Services, including but not limited to card issuance, transactions, currency conversion, and withdrawals.

5.2. All applicable fees will be disclosed to you before you confirm a transaction. Current fee schedules are available on our Site.

5.3. We reserve the right to modify our fee structure with prior notice.

9.1. To the maximum extent permitted by law, Bankly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or funds, arising from your use of our Services.

9.2. Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you to Bankly in the twelve (12) months preceding the claim.

9.3. We are not liable for delays, failures, or losses caused by third-party service providers, payment networks, blockchain networks, or force majeure events.

10. Indemnification

10.1. You agree to indemnify and hold Bankly harmless from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, violation of any law, or misuse of our Services.

11. MiCA and Travel Rule Compliance

11.1. Bankly is committed to compliance with the Markets in Crypto-Assets (MiCA) regulation and meets all Travel Rule requirements for cryptocurrency transactions.

11.2. We may request additional information from you to comply with regulatory requirements, including the Travel Rule for transfers above applicable thresholds.

12. Termination

12.1. You may close your account at any time by contacting support@bankly.cc.

12.2. We may suspend or terminate your account if you breach these Terms, if required by law, or if we cease to offer Services in your jurisdiction.

12.3. Upon termination, you must withdraw any remaining funds within the period specified by us. Unclaimed funds will be handled in accordance with applicable law.

13. Modifications

13.1. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our Site at least 30 days before taking effect.

13.2. Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

14.1. These Terms shall be governed by and construed in accordance with applicable laws of the jurisdiction in which the relevant Bankly entity operates.

14.2. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of the applicable jurisdiction.
